This is my first startup company and I think I have found a EX PR/ Consultant as a cofounder and we have roughly agreed 5% sweat equity as part of their commitment. So I am now in need of a contract template or someone to help me write a contract for CoFounder.
The project is being bootstrapped so no funds for buying in lawyers. Would anyone be able to kindly point me in the right direction? I am in Texas.
Not being a lawyer, the only advice I can offer is that you use plain language to communicate the issues that are negotiated. Contracts don't require a lawyer or a template. But I understand what you may be asking is for a list of issues that a contract should address, so you don't forget something now that would potentially be an issue later. An example might be what happens to the equity of the partner dies in an accident? Does it transfer back to the company, get inherited by their children, or something else?
I have seen dozens of examples of equity contracts posted online. Similarly I have seen legal advice even more times on issues to address in contracts. Google is your friend here. It's not a one-size-fits-all thing. But the list of contract subject matters to cover are broadly published and you can find them easily.
Get a lawyer. If you don't have the funds, find them. Even if you end up washing their car for a month, its worth it. Don't skimp out on the foundational documents.
