IMHO , you're going to wind up doing a TON of ENDLESS licensing agreements and contract negotiations. You should have a lawyer with relevant experience as your FT co-founder and do all this in-house. You're going to go broke with outsourced attorney fees, no matter what sort of sweetheart deal you do.
When you get sued - and yes, you will get sued - you want Thomas Lane to defend you ( http://winston.com/print.cfm?contentID=24&itemID=14662 ). I'm not saying that because he's a good friend, but because in the past few months he's defended (and won) Veoh against UMG, Aereo vs all the tv networks, co-authored the often-cited "Goodwill Industries" amicus brief in the Supreme Court... and routinely (successfully) defends Yahoo on all their copyright matters.
