What will be the minimum cost of change of jurisdiction of a startup from other country in the USA? I mean by jurisdiction - register the company, obtain the Federal EIN, opening a bank account, addresses and transfer of assets of owners and intellectual property. The cost to register a business in the USA varies by state, not by country, so you're looking at somewhere around $600 typically for a basic business permit and registration. The fees are in part depending on your corporate structure and whether your industry requires any licensing. For IP, it depends on what kind of IP you're talking about. No transfer is required by country. You can't file a patent in the US if you had one in another country and didn't already file one for US protection at the same time. Documentation of sale of most other IP from one corporate entity to another does not require registration or fees, you simply sell it and document the sale as you would any other asset. How it affects taxes varies based on what kind of assets and other factors, but taxes are a different issue than establishing a new locus.


EIN is free. Bank account is free (typically). Change of address is free (except updating your stationary, business cards, and notifying customers who still need to find you, etc.).


Most likely this is something you will want to discuss with a tax professional as to how the assets should be transferred and with what financial consequences. The other elements are probably something you can handle on your own, although you can always get professional assistance.
