What's the right company structure for fundraising?

I am about to start fundraising and based on everything I have been told, I need to set up a company in Delaware. We are building software, so, makes sense. I have gotten conflicting advice - one to shutdown the NY company and start a new one and the other to merge into a Delaware corp. Does anyone have any experience and can you refer me to some startup attorneys? It looks like I need to also do an 83b election when this happens.

Get advise from a start up lawyer. Ask other founders you know and trust for an introduction. Take it seriously, even though its a PITA or it will bite you later on when you're successful.
